Yes.

Engine:
-s4 is 8.5:1 cr. s5 is 9.0:1 cr
-most NOT ALL s5 TII engines have a extra webbing at the base of the oil filter pedestal. This is a great upgrade over the s4 motor as this is a failure point on the s4's at ~450hp.
-thermostat neck with no filler cap on s5. s4 is aluminum w/ filler cap.
-waterpump is slightly different.

Electronics. Wiring is all different. ECU is different.
-s4 uses a AFM. s5 uses a MAF
-s4 has one TPS. s5 has 2 TPS's
-s4 has a mechanical omp. s5 has an electronic one(which will cause limp mode if removed)

-s4 has the twin scroll turbo setup
-s5 has a different turbo/mani with dual wastegate bores.
-Injector wiring could be different if the car is pre 87.5

Theres more I'm missing, but that's the main stuff.

...

The easiest way to install a s5 Turbo II motor into a s4 Turbo II car is this:

-Use the s5 engine
-use the s4 ecu(N332/N333) I don't suggest using a computer programmed for 8.5cr on a 9.0cr engine, but people do it.
-use the s4 engine harness.
-use the s4 AFM
-use the s4 throttle body
-remove the s5 OMP completely or convert to the s4 OMP
-use the s4 pressure sensor
-If your car is pre 87.5 with an injector resistor box, you will need low impedance(peak and hold) injectors.
